1. INTRODUCTION
Welcome to MESO, an AI-powered educational planning platform designed to create personalised educational plans, enhance curriculum fidelity, and improve student outcomes. These Terms of Service ("Terms") govern your access to and use of MESO's website, applications, AI tools, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you are using our Services on behalf of an educational institution, school district, or department of education (collectively, "Institution"), you represent and warrant that you have the authority to bind that Institution to these Terms.
2. DEFINITIONS
In these Terms:
"MESO," "we," "us," and "our" refer to MESO and its affiliates, including Trinity College Dublin's School of Computer Science and Statistics where the platform was developed.
"User," "you," and "your" refer to any individual or entity that accesses or uses our Services, including teachers, administrators, and other educational professionals.
"Content" refers to any information, data, text, curricula, lesson plans, assessments, rubrics, or other materials that are generated, provided, or made accessible through our Services.
"AI-Generated Content" refers to educational content generated by our artificial intelligence systems, including but not limited to lesson plans, units of learning, assessments, and educational resources.
"Institution" refers to schools, school districts, departments of education, or other educational entities that have entered into a subscription agreement with MESO.
3. ACCOUNT REGISTRATION AND ELIGIBILITY
3.1. Institutional Accounts
Our Services are primarily designed for use by educational institutions rather than individual consumers. Access to the full functionality of our Services requires an institutional subscription.
3.2. Account Registration
To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.3. Account Security
You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorised use of your account.
3.4. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to create an account. If you are registering on behalf of an Institution, you represent and warrant that you have the authority to bind that Institution to these Terms.

5. SERVICES AND LICENCE
5.1. AI-Powered Educational Planning Tools
Our Services include AI-powered tools for creating personalised educational plans, curriculum alignment, assessment generation, and resource development. These tools are designed to enhance teaching efficiency and quality while ensuring alignment with educational standards.
5.2. Limited Licence
Subject to these Terms and your subscription agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use our Services for your Institution's internal educational purposes.
5.3. Restrictions
You may not:
Copy, modify, or create derivative works of our Services or any content therein
Reverse engineer, disassemble, or decompile our Services
Remove any copyright or other proprietary notices
Sell, resell, lease, or the functional equivalent, the Services to a third party
Attempt to gain unauthorised access to our Services or systems
Use our Services to build a competitive product or service
Use our Services in a way that violates applicable laws or regulations
5.4. Future Features
We continuously improve our Services and may add or remove features. We do not guarantee that any specific feature or functionality will always be available.
6. USER CONTENT AND FEEDBACK
6.1. User Content
You retain ownership of any content you upload to our Services, including customised lesson plans, teaching resources, or other materials ("User Content").
6.2. Licence to User Content
You grant us a worldwide, non-exclusive, royalty-free licence to use, store, display, reproduce, modify, create derivative works, and distribute your User Content for the purposes of:
Providing and improving our Services
Developing and training our AI models (only with explicit consent)
Research and analysis in aggregated, anonymised form
6.3. Feedback
If you provide feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use such feedback for any purpose without compensation or attribution to you.
6.4. Content Responsibility
You are solely responsible for all User Content that you provide. You represent and warrant that:
You own or have the necessary rights to all User Content you provide
Your User Content does not infringe upon any third party's intellectual property rights
Your User Content complies with these Terms and all applicable laws
7. INTELLECTUAL PROPERTY RIGHTS
7.1. Our Intellectual Property
All intellectual property rights in our Services and AI-Generated Content remain the property of MESO. These Terms do not grant you any rights to use our trademarks, logos, domain names, or other distinctive brand features.
7.2. AI-Generated Content Rights
For content generated by our AI systems:
You may use AI-Generated Content within your Institution for educational purposes
You may customise AI-Generated Content for your specific teaching needs
You may not republish or commercially redistribute AI-Generated Content
You may not claim authorship of unmodified AI-Generated Content
7.3. Curriculum Standards and Public Information
Our Services incorporate curriculum standards and other public educational resources. Our incorporation of such materials does not grant us ownership over them.
8. DATA PRIVACY
8.1. Privacy Policy
Our collection and use of personal information in connection with our Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.2. Educational Data
We are committed to protecting student privacy and complying with all applicable education privacy laws. We process student data only as directed by the educational institution and in compliance with our Privacy Policy.
8.3. EU AI Act Compliance
As our platform uses AI in educational settings, which the EU AI Act classifies as "high-risk," we implement specific compliance measures as detailed in our Privacy Policy.
8.4. Data Processing Agreement
Where required by applicable law, we will enter into a data processing agreement with your Institution to govern our processing of personal data.
9. THIRD-PARTY SERVICES AND CONTENT
9.1. Third-Party Services
Our Services may integrate with or contain links to third-party websites, services, or resources that are not owned or controlled by us. We are not responsible for the content or practices of these third parties.
9.2. Integration with School Management Systems
We may offer integration with existing school management information systems (MIS). Such integrations are subject to separate terms and conditions.
10. WARRANTY DISCLAIMERS
10.1. Service Warranty
We warrant that our Services will perform substantially in accordance with our documentation under normal use. If we breach this warranty, your exclusive remedy will be the correction of the deficiencies that cause the breach of warranty.
10.2. AI-Generated Content Disclaimer
While our AI systems are designed to generate high-quality educational content aligned with curriculum standards, you acknowledge that:
AI-Generated Content is not a substitute for professional educational judgement
All AI-Generated Content should be reviewed and approved by qualified educators before use
We do not guarantee that AI-Generated Content will be error-free, complete, or suitable for every educational context
As an educator, you retain responsibility for ensuring that all educational content used is appropriate, accurate, and aligned with your curriculum requirements
10.3. General Disclaimer
EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. LIMITATION OF LIABILITY
11.1. Exclusion of Certain Damages
IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA.
11.2. Liability Cap
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE CLAIM.
11.3. Exceptions
The limitations of liability in this section do not apply to liability arising from:
Our fraud, gross negligence, or wilful misconduct
Our obligations under the indemnification section of these Terms
Liabilities that cannot be excluded or limited under applicable law
12. INDEMNIFICATION
12.1. Your Indemnification
You will indemnify, defend, and hold harmless MESO, its affiliates, officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal fees, arising out of or in any way connected with:
Your access to or use of our Services
Your User Content
Your violation of these Terms, applicable law, or the rights of a third party
12.2. Our Indemnification
We will indemnify, defend, and hold harmless your Institution from and against any third-party claim that our Services infringe any third party's intellectual property rights.
12.3. Procedure
The indemnified party must: (a) promptly notify the indemnifying party in writing of any claim; (b) give the indemnifying party sole control of the defence and settlement of the claim; and (c) provide reasonable assistance in the defence of the claim at the indemnifying party's expense.
13. TERM AND TERMINATION
13.1. Term
These Terms will remain in effect until your subscription to the Services is terminated by either you or us.
13.2. Termination by You
You may terminate your subscription in accordance with the cancellation terms in your subscription agreement.
13.3. Termination by Us
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
13.4. Effect of Termination
Upon termination:
Your right to access and use our Services will cease immediately
We will provide you with the ability to export your User Content for a reasonable period
Any provisions of these Terms that by their nature should survive termination will survive
14. CONFIDENTIALITY
14.1. Confidential Information
Each party may have access to confidential information of the other party, including business plans, technology, customer information, and other information designated as confidential or reasonably understood to be confidential ("Confidential Information").
14.2. Obligations
Each party agrees to:
Maintain the confidentiality of the other party's Confidential Information
Use Confidential Information only for purposes of performing under these Terms
Protect Confidential Information using at least the same measures it uses to protect its own confidential information
14.3. Exceptions
Confidential Information does not include information that:
Is or becomes publicly available through no fault of the receiving party
Was in the receiving party's possession before receipt from the disclosing party
Is rightfully obtained by the receiving party from a third party without a duty of confidentiality
Is independently developed by the receiving party without reference to the disclosing party's Confidential Information
15. CHANGES TO THESE TERMS
15.1. Updates to Terms
We may modify these Terms at any time by posting the revised Terms on our website or by otherwise notifying you. The revised Terms will become effective upon posting or, if we notify you by email, as stated in the email.
15.2. Continued Use
Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms.
16. GENERAL PROVISIONS
16.1. Governing Law
These Terms will be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.
16.2. Dispute Resolution
Any dispute arising from or relating to these Terms or our Services will be finally settled by arbitration in Ireland, using the English language in accordance with the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with said rules.
16.3. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
16.4. No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
16.5. Assignment
You may not assign these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets.
16.6. Entire Agreement
These Terms, together with your subscription agreement, constitute the entire agreement between you and us regarding our Services, superseding any prior agreements or understandings.
16.7. Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms which is due to causes beyond its reasonable control, including but not limited to acts of God, acts of civil or military authority, fires, epidemics, floods, earthquakes, riots, wars, or sabotage.
16.8. No Partnership
Nothing in these Terms is intended to, or shall be deemed to, establish any partnership or joint venture between you and us, constitute either party the agent of the other, or authorise either party to make or enter into any commitments for or on behalf of the other.
